Billing, cancellation, and refunds

Effective date: 12 September 2026 · Devxnext Canada Inc.

This page is the internet-agreement disclosure for paid Nimva plans. It is written so a buyer can see who is selling, what is sold, the price before tax, when the first charge happens, that the plan renews until cancelled, and how to cancel. It limits refunds and licence rights only to the extent the law allows. Rights that a statute does not allow you to waive remain in force, including rights under the Consumer Protection Act, 2002 (Ontario) where that Act applies, and the Consumer Protection Act (Quebec) where that Act applies to a consumer contract formed in Quebec. This draft is prepared for review by Canadian counsel; publication does not mean counsel has signed off. This page is not a substitute for advice from your own lawyer. The Stripe Checkout page for the session you confirm is the offer for that purchase. If the amount, tax, or renewal interval on Checkout differs from this page, Checkout controls for that purchase.

Privacy Terms Billing & refunds Cookies Contact / data requests

1. Supplier

The supplier is Devxnext Canada Inc. (“Nimva,” “we,” “us,” or “our”), 7030 Woodbine Avenue, Suite 500, Markham, Ontario L3R 6G2, Canada. Contact: hello@nimva.app. Payments are collected by Stripe Payments, acting as our payment processor. We do not store your full card number. Card data is handled under Stripe’s terms and privacy policy. We have not stated a GST/HST or QST registration number on this page. Where registration is required, the applicable number will appear on the invoice Stripe issues for that charge.

2. What is sold

A paid plan is a personal, limited, non-exclusive, non-transferable, revocable licence to use the Nimva macOS application for local dictation, without a word or minute meter, on the Macs the plan allows, subject to the Terms of Service. It is not a sale of the software, not a share in Devxnext Canada Inc., and not a lifetime lock on price except where a specific charge is described as a one-time charge below.

The application may be downloaded without payment. Signing in is required to activate a paid licence. Supply of the digital service begins when the trial starts or when the licence is activated, whichever occurs first. There is no physical delivery and no shipping charge.

3. Prices before tax

Catalog prices are in United States dollars and exclude tax. The current public prices are:

  • Monthly Pro. USD $8.99 each month after you subscribe, until cancelled.
  • Yearly Pro. USD $85 each year after you subscribe, until cancelled.
  • Founder Pass. First 500 founder licences only, on the terms in section 8. Not offered again once that cap is reached.

Applicable GST, HST, QST, PST, VAT, or sales tax is calculated at Checkout from the billing address you enter and is added to the advertised price. It is not included in the amounts above. Stripe Checkout may show a local-currency total. That presentment is Stripe’s conversion. Nimva settles in USD. You are responsible for a correct billing address and for any fee your bank or card issuer adds.

If the price on nimva.app/pricing or on Stripe Checkout differs from this page, the Checkout page is the offer you accept for that session.

4. Trial, first charge, and automatic renewal

New accounts receive a one-time seven-day no-card trial when you sign in to Nimva. No payment method is required for that trial. System-wide dictation is unlocked for those seven days under the licence rules in the app.

Monthly Pro and Yearly Pro. Stripe Checkout does not start a free trial. The plan price plus applicable tax is due at Checkout when you subscribe, including if your no-card trial is still running.

Founder Pass. If you subscribe during your no-card trial, Checkout starts a seven-day intro with USD $0 due that day, and the one-time USD $49 Founder Pass charge (plus tax) is collected when that intro ends, unless you cancel first. If your no-card trial has ended, the one-time USD $49 (plus tax) is due at Checkout; yearly renewal starts after about six months, as described in section 8.

This is an agreement for continuing performance. Unless you cancel, a paid subscription renews automatically and Stripe charges the then-current renewal price at the start of each billing period. The renewal price, the billing interval, and how to cancel are shown at Checkout and in the Nimva application. We will not change a price already paid for a period then in progress. A later renewal price, if changed, will be disclosed before that renewal charge, where the law requires disclosure.

5. How to cancel

To cancel, open Nimva, go to Billing, and choose Cancel plan. The application may ask why you are leaving and, for Monthly Pro only, may offer a one-time fifty percent (50%) discount on your next monthly invoice. That retention offer does not apply to Yearly Pro or Founder plans, and it is available at most once per billing customer.

If you decline the offer (or no offer is available) and confirm cancellation: when you are within fourteen (14) days of your last paid charge and you have not already used the money-back path for that Stripe customer, Nimva may cancel immediately, refund that charge through Stripe, and revoke the licence. Otherwise cancellation stops future renewal and you keep access until the end of the period already paid for, including any remaining Founder intro.

You may also open Manage subscription for the Stripe customer portal (payment method, invoices, or portal cancel). If the application or portal is unavailable, email hello@nimva.app from the account email and ask to cancel. We will confirm when the cancellation is in place. Cancellation by email is effective when we confirm it, or within a reasonable time if we cannot reach the portal sooner. Do not rely on a chargeback as the method of cancellation.

If you cancel during a Founder intro, before the Founder Pass charge is submitted, you should not be charged for that charge. Access then ends when the intro ends or when the cancellation takes effect.

6. Failed payments

If a renewal charge fails, Stripe may retry according to its billing settings. Access may continue for a short grace period and then stop if the invoice remains unpaid. Updating the payment method in the billing portal, followed by a successful payment, is the way to restore a past-due licence. We may suspend the licence while an invoice is unpaid. Suspension for non-payment is not a termination of statutory rights you cannot waive.

7. Money-back, refunds, and chargebacks

You may request a refund of a charge you paid us for Nimva within fourteen (14) days of that charge. You can do that by confirming cancel in Nimva Billing when the application shows that an automatic refund applies, or by emailing hello@nimva.app from the account email with the charge date. The fourteen days run from the charge, not from the day you started the trial, unless Checkout states a different window for that session. The trial is not a substitute for this window.

We aim to acknowledge an emailed refund request within two (2) business days and to decide it within ten (10) business days of a complete request, except where fraud review or card-network timing requires longer. Those times are service targets, not a waiver of any statutory period that applies to you. An eligible in-app cancellation may refund through Stripe without a separate email request.

We may refuse a repeat refund request for the same account or Stripe customer, or a request that we reasonably believe is fraudulent or an abuse of the guarantee. Automatic in-app money-back is limited to once per Stripe customer. A granted refund revokes the licence for that purchase. Stripe, not Nimva, returns the card payment. The time for the refund to appear depends on your bank or card issuer.

Contact us before you file a chargeback. A chargeback may result in suspension of the licence while the dispute is reviewed. If a charge is fully refunded, whether by us or by the card network, the licence for that purchase is revoked. This section does not remove a chargeback or statutory remedy that the law of your place of residence does not allow us to require you to waive.

8. Founder Pass

The Founder Pass is a limited offer. It is not a lifetime price lock and not an ownership interest in Devxnext Canada Inc.

  • It is offered for the first 500 founder licences only.
  • The one-time charge is USD $49, charged on day 7 of the trial, not on the day you subscribe. That USD $49 amount is not charged again. Tax is extra and is shown at Checkout.
  • That pass covers 183 days after the trial. That is the period the billing system uses. It is about six months, not a calendar six months.
  • After those 183 days, the plan continues at USD $49 per year unless you cancel, or you may switch to the founder monthly rate of USD $4.99 per month if you do not want the yearly plan. That switch is made in Nimva Billing after the pass period. It is not made by buying another USD $49 pass.
  • If founder pricing is full, Monthly Pro and Yearly Pro remain available at the public prices in section 3.

The trial, cancellation, tax, failed-payment, and refund rules in this policy apply to founder charges, unless Checkout states a narrower term for that session. The yearly or monthly amount that applies after the 183 days is an automatic renewal on the same cancellation terms as section 5. It is not a second Founder Pass charge.

9. European Economic Area and United Kingdom withdrawal

If you are a consumer in the European Economic Area or the United Kingdom, distance-selling rules may give you a fourteen-day right to withdraw from a contract for digital content or a digital service. Nimva is digital content and a digital service. Performance begins when the trial starts or when the licence is activated, whichever occurs first.

At Checkout you are asked to agree that performance begins immediately and that you acknowledge the loss of the statutory withdrawal right once performance has begun, where the law of that place allows that acknowledgement. If you do not agree, do not complete Checkout. The fourteen-day money-back process in section 7 still applies where that guarantee was advertised for the charge, even if a statutory withdrawal right has ended. Mandatory consumer rights that cannot be waived remain in force.

10. Records and changes

Keep the Checkout confirmation and the invoice Stripe sends. They are the record of the amount, tax, and renewal interval for that purchase. We may update this page. We will change the effective date above. A change does not alter a charge already made, except as required by law or by a correction of a billing error. Continued renewal after notice of a material change to future charges is acceptance of that future charge, except where the law requires a new agreement.
